1. Acceptance of terms
By accessing or using Vendorlogic ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Description of service
Vendorlogic is a B2B credit application platform that enables vendors to receive, manage, and evaluate commercial credit applications. The platform facilitates trade reference collection, team review, applicant communication, and commercial trade-credit application workflows.
3. User accounts
You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate and complete information during registration. You agree to notify us immediately of any unauthorized use of your account.
4. Acceptable use
You agree not to:
- Submit false or misleading information in credit applications
- Attempt to access accounts or data belonging to other users
- Use the platform for any illegal purpose
- Reverse engineer, decompile, or disassemble the platform
- Use automated systems to scrape or extract data
5. Data accuracy
Vendors are responsible for verifying applicant information through their own due diligence processes. Vendorlogic provides tools to facilitate credit evaluation but does not guarantee the accuracy of applicant-submitted data or trade-reference responses.
6. Limitation of liability
Vendorlogic is provided "as is" without warranties of any kind. We are not liable for credit decisions made using the platform, data loss, or service interruptions. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
6a. Trade-credit disclosures
Vendorlogic facilitates commercial trade-credit applications between merchants and vendors. Vendorlogic is a technology platform — it is not itself a lender, broker-dealer, or money transmitter, and it does not extend credit, make loans, or purchase receivables on its own behalf.
Any credit terms — limits, Net-30 / Net-60 payment schedules, and pricing — are set and extended solely by the vendor that receives an application, not by Vendorlogic. By submitting an application you acknowledge that a trade-credit account is a commercial arrangement between you and the vendor, sold to businesses and not a consumer loan.
7. Beta program
During the beta testing period, features may change, data may be reset, and the platform may experience downtime. Beta users acknowledge these conditions and agree to provide feedback to help improve the platform.
Beta users explicitly acknowledge that production-grade SLAs do not apply during the beta. Data may be reset, archived, or modified to accommodate feature changes; users should not rely on the beta environment as a system of record. Material changes to data-handling practices will be communicated by email to registered users.
7a. Governing law and dispute resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. During the beta, this agreement does not require you to arbitrate disputes and does not waive your right to participate in a class action; any dispute arising under these Terms may be brought before a state or federal court of competent jurisdiction sitting in Pennsylvania. We may add or amend the arbitration, venue, and dispute-resolution provisions as the service moves to general availability, and will give registered users advance notice by email of any material change to this section.
8. Termination
Either party may terminate this agreement at any time. You may delete your account through the account settings page. We reserve the right to suspend or terminate accounts that violate these terms.
